These Terms and Conditions ("Agreement") are entered into by and between Care Wallet, LLC ("Company") and the undersigned customer ("Customer"). By clicking the box in the sign-up process to acknowledge acceptance of these terms and conditions, the Customer agrees to be bound by this Agreement.
1. Services Provided
1.1 The Company agrees to manage the collection of invoices on behalf of OneMedAll, Inc. ("Client").
1.2 The Customer agrees to pay their outstanding invoices in weekly installments over the number of months selected in the sign-up process.
2. Enrollment in Autopay
2.1 The Customer is required to enroll in automatic payments ("Autopay") using either ACH or credit card. Upon acceptance of this agreement, the Customer will receive a link to a payment portal to make their first payment and enroll in Autopay for subsequent payment.
2.2 If the Customer chooses to pay via credit card, an additional service fee of 3% will apply to each payment.
3. Payment of Fees
3.1 The Customer agrees to pay the Collection Service Fee, which will be added to each payment. The Collection Service Fee will be disclosed in the sign-up process and may vary depending on the payment plan selected by the Customer.
3.2 Unless explicitly stated otherwise, all payments will be made every 7 days in equal installments, plus the service fee, over the selected payment plan length.
3.3 The Customer’s payment plan will include:
• The original invoice amount.
• Any applicable service fees.
• The 3% credit card fee if applicable.
3.4 All payments made are non-refundable unless explicitly instructed otherwise by OneMedAll, Inc.
4. Default and Liability
4.1 If the Customer fails to make any payment as agreed, the Company reserves the right to take necessary actions to collect the overdue amounts. This may include, but is not limited to:
• Reporting the default to credit bureaus.
• Referring the account to a collection agency.
• Initiating litigation to recover the owed amounts.
4.2 In the event of default, the Customer’s medical integration services with OneMedAll, Inc. may be cancelled. Any payments made prior to default are non-refundable.
4.3 The Customer agrees to hold the Company harmless from any claims, damages, or losses arising from their failure to pay as agreed.
5. Privacy Policy
5.1 The Company is committed to protecting the Customer’s privacy. The information collected will be used solely for the purpose of managing invoice collections, processing payments, and communicating with the Customer regarding their account.
5.2 The Company may share the Customer’s information with OneMedAll, Inc. and other relevant third parties involved in the service process, as necessary for the provision of services.
6. Underwriting
6.1 The Customer may be required to undergo underwriting to be accepted into the payment plan.
6.2 The underwriting process may include a review of the Customer’s credit history, financial status, and other relevant information.
7. Governing Law
This Agreement will be governed by and construed in accordance with the laws of the State of California.
8. Dispute Resolution
8.1 Any disputes arising out of or related to this Agreement will be resolved through good faith negotiations between the parties.
8.2 If the dispute cannot be resolved through negotiations, the parties agree to submit to mediation before resorting to any other dispute resolution process.
9. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, relating to the subject matter of this Agreement.
10. Acceptance
By clicking the box to acknowledge acceptance of these terms and conditions in the sign-up process, the Customer agrees to be bound by this Agreement
